Terms of Service

1. Overview
These Terms of Service (“Terms”) govern all use of the website curatedbyashlee.com (the “Site”) and any event-planning, consulting, design, or related services (collectively, the “Services”) provided by Ashlee Nelson Curated Events LLC (“ANCE,” “we,” “us,” or “our”). By accessing the Site or engaging our Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy.
If you do not accept these Terms, do not use the Site and do not retain us for Services.
2. Eligibility
You must be at least 18 years old and able to enter a binding contract to engage our Services. By using the Site or signing a proposal, you represent that you meet these requirements.
3. Scope of Services
Details of your project—including deliverables, timeline, fees, and specific responsibilities—are set out in an ANCE proposal or master services agreement (“Proposal”). These documents, once signed or otherwise accepted, become part of these Terms.
4. Quotes, Bookings & Deposits
Quotes are valid for 30 days unless otherwise stated.
A non-refundable deposit (typically 25–50 % of total fees) is required to reserve event dates.
Dates are not guaranteed until both (a) deposit is received and (b) Proposal is countersigned.
5. Fees & Payment
Payment schedule. Remaining balances are due as outlined in the Proposal (often 50 % midway and 100 % ten business days before the event).
Late payments. Past-due amounts accrue 10% interest per month (or the maximum permitted by law) plus collection costs, unless otherwise stated in the signed Proposal.
Expenses. You are responsible for all third-party vendor costs, travel, accommodations, permits, taxes, and similar expenses unless expressly included in our fee.
6. Cancellation & Refunds
Cancellations must be in writing.
Deposits are non-refundable. If you cancel:
≥90 days before the event: you owe the deposit plus any incurred costs.
<90 days before the event: you owe 100 % of the total fee and any vendor cancellation penalties.
If ANCE cancels for reasons other than Client breach or Force Majeure, we will refund all payments received.
7. Client Responsibilities
You agree to:
Provide timely information, approvals, and access needed for successful planning;
Review and sign vendor contracts directly when required;
Maintain appropriate insurance coverage for your event; and
Comply with all applicable laws, permits, and venue rules.
Failure to meet these obligations may delay Services or incur additional fees.
8. Third-Party Vendors
ANCE may recommend or coordinate with caterers, venues, entertainers, or other vendors. These vendors are independent contractors; we are not responsible for their acts, omissions, or performance. Disputes with vendors must be resolved directly with them.
9. Intellectual Property
All creative concepts, copy, graphics, schedules, templates, and other materials we produce (“Materials”) remain ANCE’s property until all fees are paid in full. Upon full payment, you receive a non-exclusive, perpetual license to use the Materials solely for the intended event or internal purposes. You may not resell, sublicense, or publicly distribute Materials without our written consent.
10. Confidentiality & Non-Solicitation
Both parties agree to keep the other’s confidential information secret for five years after disclosure. You agree not to solicit or hire ANCE employees or contractors, directly or through third parties, for one year after the last day we provide Services to you.
11. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. We do not guarantee uninterrupted access to the Site or that an event will be error-free, immune from third-party disruption, or meet any particular outcome.
12. Limitation of Liability
To the fullest extent permitted by law:
Indirect damages excluded. ANCE is not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits).
Cap on direct damages. Our total liability for any claim related to the Services will not exceed the fees you actually paid to us for the specific project giving rise to the claim.
13. Indemnification
You will indemnify and hold ANCE, its owners, and staff harmless against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) your negligence or willful misconduct, or (c) third-party claims related to your event.
14. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, acts of God, terrorism, epidemic, pandemic, labor disputes, government orders, or utility failures. Each party will notify the other promptly and make good-faith efforts to reschedule or mitigate impact.
15. Modifications to Site or Terms
We may update the Site or these Terms at any time by posting a revised version with a new “Last updated” date. Continued use after changes constitutes acceptance. Material changes to signed Proposals require mutual written agreement.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. The parties will first attempt good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Cook County, Illinois, administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.
17. Privacy
Your use of the Site and our handling of personal data are also governed by our separate Privacy Policy.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and interpreted to best fulfill the parties’ original intent.
19. Entire Agreement
These Terms, together with any signed Proposal and the Privacy Policy, constitute the entire agreement between you and ANCE and supersede all prior oral or written understandings related to the Services.
